Acceptance of terms
These Terms of Service (“Terms”) form a binding agreement between you (the “Customer”) and Hatzalah.Live, Inc. (“Hatzalah.Live”, “we”, “us”) and govern your use of our dispatching platform, mobile applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
The Services
Hatzalah.Live provides a real-time dispatching platform purpose-built for volunteer EMS agencies, including a web admin, a mobile responder app, and integrations with telephony, mapping, and messaging providers.
The Services are intended for use by trained EMS personnel and the agencies that employ or coordinate them. You are responsible for your use of the Services and for ensuring it complies with all applicable laws and professional standards.
Accounts & access
- You must provide accurate information when creating an account.
- You are responsible for safeguarding credentials and for all activity under your account.
- Administrators are responsible for managing roles and permissions within their agency.
- You agree to notify us immediately at [email protected] of any unauthorized access.
Acceptable use
You will not, and will not permit anyone to:
- Use the Services to violate any law, regulation, or third-party right.
- Attempt to gain unauthorized access to or interfere with the Services or any related systems.
- Reverse-engineer, scrape, or copy the Services except as expressly permitted by law.
- Upload or transmit malicious code or content that infringes intellectual property rights.
Customer data
You retain all rights to the data you submit to the Services (“Customer Data”). You grant Hatzalah.Live a worldwide, non-exclusive license to host, copy, transmit, and display Customer Data solely as necessary to provide the Services to you.
Where we process Protected Health Information on your behalf, that processing is governed by a separate Business Associate Agreement.
Fees & payment
Fees, billing frequency, and payment terms are set out in your Order Form. Fees are non-refundable except as required by law or expressly stated. Late payments may result in suspension of the Services after notice.
Term & termination
- The Services are provided for the term specified in your Order Form and renew automatically unless either party provides notice of non-renewal.
- Either party may terminate for material breach if the breach is not cured within 30 days of written notice.
- On termination, we will make Customer Data available for export for a reasonable period before deletion, in accordance with our Privacy Policy.
Warranty disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HATZALAH.LIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT OR EMERGENCY MEDICAL CARE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
Changes to these terms
We may update these Terms from time to time. Material changes will be communicated to administrators via email and posted here with a revised “Last updated” date. Continued use of the Services after changes take effect constitutes acceptance.
